BYLAWS AMENDMENT

Should an amendment to the Bylaws be 
made to reduce the number of 
authorized directors from 7 (seven) to 
5 (five)? A "yes" vote 
indicates your approval of the 
amendment.

The polls will close on Tuesday, March 
6, 2001, 8 p.m. EST.

- Yes, 20 votes, 71.43%  
- No, 8 votes, 28.57%
