(ALHN) NOTICE OF NOMINATIONS, ELECTION & SPECIAL BOARD MEETING I. NOMINATIONS A. Nominations are now open for an election for one seat on the ALHN Board of Directors. Nominations will close 24-hours from the date of this Notice. B. Only ALHN members (ALHN Membership-Voting List subscribers) as of this date and time may nominate or be nominated, with each member allowed one nomination. C. A current Membership Roster will be published soon following this Notice. D. A list of nominees will be published to the ALHN-Membership Voting List following the close of nominations. F. Nominees are requested to notify the Board, by email to the above two addresses as soon as possible thereafter, to either accept or decline. II. ELECTION(S) A. Elections will be conducted using the ALHN-Membership-Voting List Polls. B. The polls will open no later than 48 hours from the date of this Notice and remain open for a period of 48 hours thereafter. C. Votes will be by secret ballot, and voters will be permitted to change their votes at any time before the polls close. D. Election Results will be posted immediately following the closing of the polls. If no member receives a majority of the votes cast, there will be an immediate run off election of the top vote- getters with the polls again open for a period of 48 hours. IMPORTANT 1. Proxies must be emailed to the Board PRIOR to the opening of the polls. 2. New membership applications are still being accepted; however, none will be processed until the conclusion of the election period. III. Special Board Meeting A. A Special Board Meeting will be conducted immediately following the final tally of ballots for the purpose of approving an emergency amendment to the bylaws to be presented to the membership for approval in a secret ballot vote to be conducted on the ALHN Membership-Voting List immediately following the end of the Board meeting (location to be announced). Matthews received: 21 Wasim Ali Atleeah received: 9 No write-in ballots were received. One protest was received regarding the nomination of Wasim Ali Atleeah having been emailed to the ALHN@egroups.com list rather than to the email addresses of the President and Secretary as per the instructions in the Nomination and Election Procedures. The protest is denied on the basis that both the President and Secretary are publicly known to be subscribed to that list, so the nomination was emailed to both even if not to the directed addresses. In the future, explicit directions will be clearly detailed, and must be followed. Noel C. Matthews having received a majority of votes cast and having previously consented to accept the position, is declared a director by election of the board of the American Local History Network, Inc.
